英文合約中其它常見的定義條款

以下再提供讀者一些英文合約中常用，且內容多屬一致的定義條款。

"property" means property, assets, interests and rights of every description, wherever situated.
“財產”包括財產、資產、利益、權利等。財產之所在地在所不問。

"expenses" include costs, charges and expenses& of every description.
“費用”包括各種形式的金錢支出。

costs, charges, expenses

costs、charges和expenses就像中文里所說的“花費”、“支出”、“費用”一樣，至多只有語意學上的差別，在法律上除非特別指明（例如“訴訟費用”、“律師費用”），否則指的都是金錢支出，沒有什么差別。英文的撰寫合約習慣上，喜歡像這樣盡可能把所有表達同一概念的字句全部放到合約里，一網打盡，以免影響權利義務關系的明確。

"proceedings" means any proceedings before a court or tribunal& (including an arbitration)
“程序”指在任何國家法院所進行的任何程序，包括仲裁在內。

tribunal

tribunal原始的意思，指的是法庭里較地面為高的裁判官座位席（現在英文里的裁判席僅簡單稱做the bench），后來演變為統稱"裁判官"的集合名詞（a group having the power of judging），至于現在的法律文件或其它相關資料里提到的 tribunal，通常和court沒有兩樣，就是"法院"的意思。

"address" means－
(a) in relation to& an individual, his usual residential or business address; and
(b) in relation to a corporation, its registered or principal office.
“地址”一詞：
(a) 就自然人而言，指通常之居所或工作場所。
(b) 就公司而言，指注冊所在地或主營業所。

in relation to...

某概念的定義條款，如果適用范圍僅限于合約的"特定部份"，可以用“for the purpose of...”來為定義條款起頭，前面已經說過。而如果定義條款是針對合約的“特定概念”，就用“in relation to...”來界定，例如上面所舉的例子，“地址”分別在“自然人”和“公司”兩種情況下，需要不同的定義，于是需要“in relation to”作為語句連結與概念劃分的工具。

"written", in relation to a notice under this agreement, includes those sent by telex or fax.
本合約之“書面”通知，包括以電報或傳真所為之通知。
